Assistance Coordinating Council Memorandum
of Understanding Introduction and MissionThe Infrastructure Assistance Coordinating Council (IACC) is recognized by the Washington State’s Secretary of State as a non-profit organization. The IACC has been in existence for over 15 years and is comprised of staff from state and federal agencies, nonprofit organizations, local government associations, universities, and related organizations that provide infrastructure related financial and/or technical assistance to local governments in Washington State. IACC’s is dedicated to helping Washington communities identify and obtain resources they need to develop, improve, and maintain public works programs. Together with IACC, communities are better able to provide the infrastructure necessary to enhance, preserve, and protect Washington’s environment and quality of life. Purpose of the Memorandum of UnderstandingThis Memorandum of Understanding (MOU) formalizes the cooperative working arrangement among the members of the IACC. Membership is strictly voluntary, and there are no direct financial costs associated with membership. However, the IACC sponsors various events that require staff time, and member organizations are called on to provide assistance in preparing for and conducting these events. In some cases, members are asked to provide in-kind services, such as sending brochures to organizations on their mailing lists. Members are asked to periodically participate in processes designed to identify ways of streamlining and coordinating the way in which infrastructure related financial and technical assistance is provided to communities. When appropriate, members are asked to consider modifying their individual service delivery strategies so that the overall delivery of service is improved. Compliance with these requests is voluntary. The IACC uses its meetings and events to review new technologies, service delivery approaches, software, and other innovations that may improve infrastructure systems or the way in which services are provided. Members are asked to consider these innovations in light of their service delivery strategy to determine if they can be effectively incorporated into that strategy. The IACC is governed by its By-Laws and Articles of Incorporation. It administers itself through quarterly meetings that follow standard meeting rules. The IACC has financial resources that are generated by conference proceeds, donations, and other fee-for-services. As noted above, there are no membership dues or other direct costs charged to members. The budget is used to provide educational opportunities to the members, to conduct the business of the organization or its events, or to provide services directly to local governments on behalf of the organization. No member or officer receives compensation for services rendered. ExpectationsMembers are expected to attend and actively participate in the quarterly business meetings and vote on matters brought before the IACC in accordance with the wishes of the organizations they represent.
MembershipMembership is open to all state and federal agencies having an interest in providing infrastructure funding and/or technical assistance to communities in the state. Nonprofit organizations, universities, associations, and other interested parties that assist communities meet their infrastructure needs are also eligible for membership. A list of current members is kept by the Secretary of the IACC and is attached to this MOU. Membership is strictly voluntary. There is no membership fee. Members may withdraw by submitting a Letter of Resignation to the IACC Executive Committee. Officers and Board of DirectorsThe IACC has a set of Officers and a Board of Directors who are elected in accordance with the By-Laws. They are responsible for the administration of the organization, management of its assets, and its overall activities. The duties, authorities, and responsibilities of the Officers and Directors are enumerated it the By-Laws. Their terms of office are also established in the By-Laws. LiabilityThe IACC is liable for its actions in accordance with the laws that govern a nonprofit organization. MeetingsMeetings, both of the entire membership and its subcommittees, are set by the By-Laws. At a minimum, business meetings will be held four times a year on approximately a quarterly basis. Members must attend these meetings in accordance with the By-Laws in order to retain their voting status. BudgetThe budget will be managed by the Officers and the Board of Directors in accordance with standard accounting procedures, the By-Laws, and the direction of the members. It will be established annually and reported on quarterly by the Treasurer. Approval of the Memorandum of UnderstandingBy signing this MOU, the following agencies pledge to support the IACC by appointing a representative to the IACC, providing in-kind services as necessary and warranted to conduct IACC events, providing information to the IACC and its members about issues that affect the delivery of infrastructure related services to the communities in the state, considering opportunities to improve the delivery of services, and actively participating in the IACC and its events.
